Service Specific Terms

SKU A1050.1 – “Standard” Platform Tools License

• As designated by an Order, CitizenDeveloper hereby grants a limited user Platform Tools Standard License to You subject to the terms and limitations provided in this Agreement.
• The Platform Tools Standard License includes access to one “Standard Platform Account” which is for the Systems Administration and Dev Ops and Account management website found at platform.citizendeveloper.com. One Standard Platform Account may have up to 5 “Platform Account Users”.
• Features commonly available to Standard Platform Licensee’s include (See the Service Specific terms or current Sales Literature for additional detail, as the exact set of features may vary based on Your specific SKU):
  • Basic dev ops and systems administration functions
  • Billing, Legal and other account management tools
  • Developers tools used to develop applications
• Limits commonly applied to Standard Platform Licensee’s include (See the Service Specific terms or current Sales Literature for additional detail, as the exact set of features may vary based on Your specific SKU):
  • Limits on developers tools access or availability
  • Limits on pre-built integrations available
  • Limits on application functionality including table, page or record count, api count, etc.
  • Limits on available pre-built payment processing methods and features
  • Limits on white labeling tools available
  • Limits on support tools available

SKU A1050.2 – “Enterprise” Platform Tools License

• If designated by an Order, CitizenDeveloper hereby grants an additional limited user Platform Tools Enterprise License to You subject to the terms and limitations provided in this Agreement. The A1050.2 Enterprise Platform License includes all features of the A1050.1 Standard Platform Tools License which is hereby fully incorporated herein, plus additional features as determined by CitizenDeveloper in its sole discretion and as may be amended from time to time.
• The Platform Tools Enterprise License includes access to one “Enterprise Platform Account” which is for the Systems Administration and Dev Ops website found at platform.citizendeveloper.com. One Enterprise Platform Account may have a total of up to 100 “Platform Account Users”.
• Features commonly available only to Enterprise Platform Licensee’s include (See the Service Specific terms or current Sales Literature for additional detail, as the exact set of features may vary based on Your specific SKU):
  • Back-end Record Security (Note: May require additional Processing Units)
  • Compliance Overlay
  • Tier 2 Integrations Package
  • White Labeling tools
  • System administration tools
  • Additional Support tools
  • Unlimited Record or Page count
  • Unrestricted access to API’s

SKU A1050.3 – “Web Free” Platform Tools License

If designated by an Order, CitizenDeveloper hereby grants an additional limited user Platform Tools Enterprise License to You subject to the terms and limitations provided in this Agreement. The A1050.3 Web Free Platform License includes all features of the A1050.1 Standard Platform Tools License which is hereby fully incorporated herein, plus additional features as specified in the table below or as determined by CitizenDeveloper in its sole discretion and as may be amended from time to time.

SKU A1050.4 – “Web Simple Application” Platform Tools License

If designated by an Order, CitizenDeveloper hereby grants an additional limited user Platform Tools Enterprise License to You subject to the terms and limitations provided in this Agreement. The A1050.4 Web Personal Platform License includes all features of the A1050.1 Standard Platform Tools License which is hereby fully incorporated herein, plus additional features as specified in the table below or as determined by CitizenDeveloper in its sole discretion and as may be amended from time to time.

SKU A1050.5 – “Web Business Application” Platform Tools License

If designated by an Order, CitizenDeveloper hereby grants an additional limited user Platform Tools Enterprise License to You subject to the terms and limitations provided in this Agreement. The A1050.5 Web Business Platform License includes all features of the A1050.1 Standard Platform Tools License which is hereby fully incorporated herein, plus additional features as specified in the table below or as determined by CitizenDeveloper in its sole discretion and as may be amended from time to time.

SKU A1050.6 – “Web Teams Application” Platform Tools License

If designated by an Order, CitizenDeveloper hereby grants an additional limited user Platform Tools Enterprise License to You subject to the terms and limitations provided in this Agreement. The A1050.6 Web Enterprise Platform License includes all features of the A1050.1 Standard Platform Tools License which is hereby fully incorporated herein, plus additional features as specified in the section below or as determined by CitizenDeveloper in its sole discretion and as may be amended from time to time.

Specific Features to A1050.3, A1050.4, A1050.5 and A1050.6

General Terms and Conditions applicable to all Platform Tools License SKU’s

• Licensing is provided to You by CitizenDeveloper at the agreed upon rate, paid at the beginning of each Fee Accrual Period.
• Platform Tools Licenses contain terms relevant to Your use of both the Admin Platform at platform.citizendeveloper.com as well as to the developer tools available to a specific Application. Platform License terms that apply to the Admin Platform apply to it globally across all of your Admin Platform activities, whereas Platform License terms relevant to a specific Application apply only to that Application; a different Application may be subject to a different Platform Tools License and may enjoy a different set of features;
  • Platform Tools Licenses are typically purchased by Application, and terms specific to the Application for which a Platform Tools License is purchased do not apply to other Applications.
  • Platform Tools License terms that apply globally to the Admin Platform are not cumulative. Only one Platform Tools License may be in effect for any Admin Platform Account at any time. If an Admin Platform Account has multiple Platform Tools Licenses associated with various purchased SKU’s, the Platform Tools License providing the greatest set of features will apply to all Users use of the Admin Platform Account.
  • For clarity as an example, a Customer who can only purchase Standard and Enterprise Platform License SKU’s is limited to the number of Platform Users allowed by a single Standard Platform License, unless they have purchased at least one Enterprise Platform License in which case that Enterprise Platform License SKU will be the exclusive SKU used for determining total Platform User count.
  • The Platform Tools License includes access to a subset of the Development Tools that are automatically exposed within an Application when its Application Installation is installed into a Development, Testing or Production role or environment. The specific subset of features available under the specific Platform License is as determined by CitizenDeveloper in its sole discretion and as may be amended from time to time, and may vary by type of SKU.
• I agree that if my Platform Account Usage exceeds normal amounts as understood by CitizenDeveloper at the time of entering into this Platform Tools Licensing Agreement, CitizenDeveloper has the right in its sole discretion to withdraw that Agreement and to offer an alternative Agreement that may include a different rate. If I do not accept this change, I agree that my services can be canceled without further liability to Me.
• This Licensing is subject to the Terms listed in the CitizenDeveloper Platform Terms of Service found at https://www.citizendeveloper.com/legal/.
• Limitation of Liability. I understand that neither party’s aggregate liability with respect to any single incident arising out of or relating to this SKU will exceed the amount paid by me for the then current Fee Accrual Period’s (or the then current month, whichever is smaller, calculated as a single-month proportion of the total amount paid for the Fee Accrual Period) Platform Tools Licensing.
• Loss of Applications and Materials. UPON ANY TERMINATION OF THIS AGREEMENT, ALL APPLICATIONS AND OTHER MATERIALS DEVELOPED BY OR FOR YOU USING THE PLATFORM AND HOSTED ON OUR PLATFORM WILL BE PERMANENTLY DESTROYED.
• No Warranty. ALL PLATFORM TOOLS AND CONTENT ARE PROVIDED “AS ­IS,” EXCLUSIVE OF ANY WARRANTY WHATSOEVER. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. CONTENT POSTED BY US ON COMMUNITY PAGES IS NOT PART OF ANY USER GUIDE OR LEGAL AGREEMENT. ALL SUCH PLATFORM CONTENT IS PROVIDED “AS­IS”, EXCLUSIVE OF ANY WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON­INFRINGEMENT. WE DO NOT MAKE ANY REPRESENTATION AS TO QUALITY OR ACCURACY OF ANY CONTENT ON CITIZENDEVELOPER PAGES, AND WE SPECIFICALLY DISCLAIM THE COMPLETENESS, RELIABILITY OR ORIGINALITY OF SUCH CONTENT. WE FURTHER DISCLAIM ANY RESPONSIBILITY WHATSOEVER FOR ANY PLATFORM CONTENT OR MATERIAL ON CITIZENDEVELOPER.COM NOT ORIGINATING WITH US, WHETHER OR NOT WE REVIEWED OR MODERATED SUCH CONTENT.
• No Damages. IN NO EVENT SHALL WE HAVE ANY LIABILITY HEREUNDER TO YOU FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR DAMAGES BASED ON LOST PROFITS, DATA OR USE, HOWEVER CAUSED AND, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, WHETHER OR NOT YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• Indemnity. You agree to indemnify and hold Us harmless from any claims, demands, liabilities, losses, damages, costs and expenses (including, without limitation, reasonable attorneys’ fees) arising from Platform Content you submit to or post on CitizenDeveloper, your use of the Platform, your violation of these Terms of Use, or your violation of any rights of a third party.
