Service Specific Terms

• As designated by an Order, CitizenDeveloper hereby grants a limited use Commerical-off-the-shelf-Software (“COTS”) License to You subject to the terms and limitations provided in this Agreement.
• One COTS License includes a License grant to install one (1) COTS Application product from the CitizenDeveloper’s list of available COTS Application products (The “COTS List”). Examples of a COTS software includes but is not limited to; Document Management, Knowledge Management, Asset Management, Case Management, Workflow Management.
• This License Grant can be provided for a period of time or on a 1-time perpetual basis as designated in the Order. If not designated, the period will be 1 month.
• Licensing is provided to You by CitizenDeveloper at the agreed upon rate, payable on a 1-time basis for perpetual license grants or at the beginning of each Fee Accrual Period for periodic license grants.
• The specific COTS List selected from must be designated in the Order If no list is designated in the Order, the “small” COTS list will be designated.
• The Application must be installed into an Installation and the Customer must have all other SKU’s necessary to support this as a condition of use of this License. There is not a limit to User Count imparted by this License, although other factors (such as assignment of Processing Units) could create practical limitations of use.
• Automated management including Receipt and/or review of this COTS product requires a valid 1050 Platform Tools License to be in effect.
• Deployment of this COTS product onto an Installation in any role, including development, testing or production roles, requires a valid A1000 Application Installation License to be in effect.
• From time to time, CitizenDeveloper may make updates to this COTS available for Your consideration and use within Your Platform Account.
• Implementation Services for this COTS License or subsequent updates are not provided by this SKU.
• This Licensing is subject to the Terms listed in the CitizenDeveloper Platform Terms of Service found at https://www.citizendeveloper.com/legal/.
• No Refunds. COTS products are purchased on a 1-time or periodic basis, and as such there are no refunds for any reason.
• AS-IS. THIS PRODUCT IS PURCHASED AS-IS. SELLER MAKES NO REPRESENTATIONS OR WARRANTIES AS TO ITS FITNESS FOR ANY PARTICULAR USE.
• Limitation of Liability. I understand that neither party’s aggregate liability with respect to any single incident arising out of or relating to this SKU will exceed the amount paid by me for the then current Fee Accrual Period’s (or the then current month, whichever is smaller, calculated as a single-month proportion of the total amount paid for the Fee Accrual Period) Platform Tools Licensing.
• No Warranty. ALL COTS LICENSES AND CONTENT ARE PROVIDED “AS ­IS,” EXCLUSIVE OF ANY WARRANTY WHATSOEVER. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, OR NON INFRINGEMENT. CONTENT POSTED BY US ON COMMUNITY PAGES IS NOT PART OF ANY USER GUIDE OR LEGAL AGREEMENT. WE DO NOT MAKE ANY REPRESENTATION AS TO QUALITY OR ACCURACY OF ANY COTS LICENSED CONTENT, AND WE SPECIFICALLY DISCLAIM THE COMPLETENESS, RELIABILITY OR ORIGINALITY OF SUCH CONTENT. WE FURTHER DISCLAIM ANY RESPONSIBILITY WHATSOEVER FOR ANY COTS LICENSED CONTENT OR MATERIAL NOT ORIGINATING WITH US, WHETHER OR NOT WE REVIEWED OR MODERATED SUCH CONTENT.
• No Damages. IN NO EVENT SHALL WE HAVE ANY LIABILITY HEREUNDER TO YOU FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR DAMAGES BASED ON LOST PROFITS, DATA OR USE, HOWEVER CAUSED AND, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, WHETHER OR NOT YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• Indemnity. You agree to indemnify and hold Us harmless from any claims, demands, liabilities, losses, damages, costs and expenses (including, without limitation, reasonable attorneys’ fees) arising from your deployment of COTS Licensed Content, your violation of these Terms of Use, or your violation of any rights of a third party.
