Sales literature is not applicable for this SKU.

Whereas, Customer wishes to purchase a CitizenDeveloper Web License that is designed to include everything one normally needs to build, test, deploy and manage a single web-based, cloud-scalable software Application. Generally, with Customers purchase of this Web License Customer will receive for a single designated Application a specified quantity of:

• Licensing – Limited licensing of the designated number of application installations and limited use licensing of the CitizenDeveloper Platform and Development Tools.
• Hosting – A designated number of Cloud Consumption Units (CCUs) which can be used to requisition and provision any available resource type from an available Cloud Hosting vendor or private cloud, as per the schedule provided by this SKU, including front end and/or back end server resources, database resources and other cloud or network infrastructure. For clarity, the CCU requisitions provided by this SKU are required for the setup and hosting of Installations for a single designated Application.
• Tools and Integrations – Access to the designated tiers of Platform tools and/or integrations to world-class 3rd party services for a single Application.
• SLA’s – For the applicable tiers, 5 complete Service Level Agreements (SLA’s) including Availability, Performance, Security, Disaster Recovery and Application Support as applied to a single designated Production Application. Collectively, the SLA’s are the exclusive agreement for any service assurances, warranties, representations or indemnities by CitizenDeveloper unless otherwise specified in the Agreement.
• Consumables – The designated quantity of Cloud Consumption Units (CCU’s) which can be used in the designated Application for any available 3rd party integration that incurs a cost.

Service Specific Terms

Licensing

Two types of Licensing are bundled and incorporated into this Agreement by this SKU A1200;

1. SKU A1000 “Application Installation Licensing” up to the designated number and role of installations. The Terms and Conditions of SKU A1000.x are hereby fully incorporated herein.
2. SKU A1050 “Platform Tools Licensing”. The Terms and Conditions of the designated SKU A1050.x are hereby fully incorporated herein. If the Order does not designate a specific A1050.x SKU, the A1050.3 Web Free Platform License SKU will be provided. Note that the A1050 Platform Tools License is not cumulative under this A1200; in other words, purchase of additional quantities of A1200 does not allow an additional quantity of Platform Users, nor does that additional purchase create an upgrade from one A1050 SKU to another.

Hosting

This SKU A1200 provides the following Hosting SKUs to a designated Application;

1. SKU A5200 “Cloud Consumption Units” up to the designated quantity for the designated application. The Terms and Conditions of SKU A5200 are hereby fully incorporated herein.
2. Dedicated Hosting. If designated, Customers Web License may support the creation and maintenance of a Dedicated Hosting environment.
3. Private Cloud Hosting. If designated, Customers Web License may support the creation and maintenance of a Private Cloud Hosting environment.
   Cloud Consumption Units are consumed cumulatively between both Hosting and Consumable Services.
4. Designated Cloud Consumption Units purchased In Advance under this SKU are provided each month on a “use it or lose it” basis to a single Application. In other words, at the beginning of each new period for which this SKU A1200 remains in place, any unused In Advance Cloud Consumption Units previously provided by this SKU will be zeroed out, and will be replaced with the specifically designated number of Cloud Consumption Units.
5. You will be billed as Overage for any Cloud Consumption Units consumed beyond the designated quantity.

Consumable Services (3rd Party Services)

This SKU A1200 provides the following Consumables SKU;

1. SKU A5200 “Cloud Consumption Unit” up to the designated quantity for the designated Application. The Terms and Conditions of SKU A5200 are hereby fully incorporated herein.
2. Cloud Consumption Units are consumed cumulatively between both Hosting and Consumable Services.
3. Designated Cloud Consumption Units purchased In Advance under this SKU are provided each month on a “use it or lose it” basis to a single Application. In other words, at the beginning of each new period for which this SKU A1200 remains in place, any unused Cloud Consumption Units previously provided by this SKU will be zeroed out, and will be replaced with the specifically designated number of Cloud Consumption Units.
4. You will be billed as Overage for any Cloud Consumption Units consumed beyond the designated quantity.

Integrations

This SKU A1200 provides access to Integrations for a designated Application through the aforementioned SKU A1050.x Platform Tools Licensing. Please see the SKUs Service Specific Terms or its Sales Literature for additional details.

Production Application SLA’s

For Applications installed into a Production Role, This SKU A1200 provides the following five (5) SLA’s in one of three (3) Levels as designated. If “n/a” is designated or if there is no designation, then the SLA will not apply:

1. A4000 SLA – Availability
2. A4100 SLA Addendum – Performance
3. A4200 SLA Addendum – Security
4. A4300 SLA Addendum – Disaster Recovery
5. A4400 SLA Addendum – Software Application Support

Note that the SLA Exclusions found at https://www.citizendeveloper.com/legal will apply.

Disclaimer. IN ADDITION TO THE STANDARD SLA EXCLUSIONS, SLA’S FOR AVAILABILITY, PERFORMANCE AND SOFTWARE APPLICATION SUPPORT UNDER THIS SKU A1200 EXPRESSLY REQUIRE AN APPROPRIATE ALLOCATION OF CLOUD CONSUMPTION UNITS AS REASONABLY DETERMINED BY CITIZENDEVELOPER IN THEIR SOLE DISCRETION. AS A VERY SIMPLE EXAMPLE, IF NO CCUs ARE ALLOCATED TO AN APPLICATION, IT CAN NOT BE AVAILABLE OR PERFORMANT UNDER ANY CIRCUMSTANCE. FAILURE TO ALLOCATE THE APPROPRIATE QUANTITY AND TYPE OF CCUs SUSPENDS ALL PERFORMANCE AND REMEDY OBLIGATIONS OF CITIZENDEVELOPER UNDER THOSE SLA’S UNTIL THE DEFICIENCY CAN BE CURED BY CUSTOMER.

Platform Tools Support

The SKU A3105 provides for comprehensive support while using the Platform tools including the development and testing environment tools and the website found at platform.citizendeveloper.com. The specific level of Platform Tools Support must be designated within the Order, otherwise, the support will be Basic.

General Terms and Conditions of this SKU

Limitation of Liability

• I understand that neither party’s aggregate liability with respect to any single incident arising out of or relating to this SKU will exceed the amount paid by me for the then current Fee Accrual Period’s (or the then current month, whichever is smaller, calculated as a single-month proportion of the total amount paid for the Fee Accrual Period) licensing.
